Please read these terms carefully before accessing or using the ShopinoERP platform. These terms govern your enterprise's use of our software and services.

Overview

This website and the associated software platform are operated by ShopinoERP. Throughout the site and platform, the terms “we”, “us” and “our” refer to ShopinoERP. ShopinoERP offers this website, including all enterprise management modules, tools, APIs, and services available from this site to you, the user (and the enterprise entity you represent), conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site and/or subscribing to our software services, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site and platform, including without limitation users who are browsers, enterprise clients, vendors, and merchants.

Any new features, modules, or tools which are added to the current platform shall also be subject to the Terms of Service. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes.

1. Platform, SaaS Terms & General Conditions

  • 1.1) By agreeing to these Terms of Service, you represent that you are an authorized representative of your business entity and have the legal authority to bind your enterprise to this agreement.
  • 1.2) You may not use our platform for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to financial compliance and copyright laws).
  • 1.3) You must not transmit any worms, viruses, malicious payloads, or any code of a destructive nature into the ShopinoERP infrastructure.
  • 1.4) A breach or violation of any of the Terms will result in an immediate termination of your enterprise account and access to the Services.
  • 2.1) We reserve the right to refuse service to anyone or any business for any reason at any time.
  • 2.2) You understand that your enterprise data (excluding encrypted credentials and payment information), may be transferred and involve (a) transmissions over various secure cloud networks; and (b) changes to conform and adapt to the technical requirements of connecting networks, APIs, or devices.
  • 2.3) You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service (including the platform’s source code, UI/UX, or module architecture), use of the Service, or access to the Service without express written permission by us.

2. Services, Modifications & Billing

Modifications to the Service and Pricing

  • 4.1) Subscription prices for our SaaS plans, custom modules, and API usage tiers are subject to change with a 30-day notice provided to your account administrators.
  • 4.2) We reserve the right at any time to modify or temporarily suspend the Service (for maintenance or critical security updates) with reasonable prior notice when possible.
  • 4.3) We shall not be liable to you or to any third-party for any modification, price change, suspension, or discontinuance of the Service.

Software Services & Integrations

  • 5.1) ShopinoERP provides cloud-based modules (e.g., accounting, logistics, manufacturing). Access to specific modules is dependent on your active subscription tier.
  • 5.3) We reserve the right, but are not obligated, to limit the provision of our Services to any person, geographic region, or jurisdiction. We reserve the right to limit the API calls or bandwidth available to your account to prevent infrastructure abuse (Fair Use Policy).
  • 5.4) We do not warrant that the quality of any specific custom feature, integration, or information obtained by you will flawlessly meet your subjective expectations, or that all software bugs will be corrected immediately.

Subscription Billing and Account Information

  • 6.1) You agree to provide current, complete, and accurate billing and account information for all subscriptions made with us.
  • 6.2) In the event of failed subscription payments, ShopinoERP reserves the right to downgrade, suspend, or terminate your enterprise access until the account balance is settled.

3. Third-Party Tools & Prohibited Uses

Regarding Third-Party Tools (Section 7):

Our platform integrates with third-party tools (e.g., WooCommerce, Daraz, payment gateways, courier APIs) over which we neither monitor nor have any control. You acknowledge and agree that we provide the ability to connect to such tools ”as is” without any warranties. We shall have no liability whatsoever arising from or relating to your use of third-party tools, including if a third-party API changes and breaks an integration.

Prohibited Uses (Section 8):

  • For any unlawful purpose, including tax evasion or financial fraud.
  • To infringe upon or violate our intellectual property rights (including reverse-engineering the ERP software).
  • To submit false or misleading enterprise data intended to defraud stakeholders.
  • To upload or transmit viruses, ransomware, or any other type of malicious code.
  • To attempt unauthorized access to other tenants' databases within our cloud environment.
  • To scrape, data-mine, or conduct automated load-testing/penetration-testing against our live servers without prior written consent.
  • To interfere with or circumvent the security features of the Service.

4. Warranties, Liability & Indemnification

9.1 & 9.2) We do not guarantee, represent or warrant that your use of our service will be 100% uninterrupted, timely, secure or error-free. You expressly agree that your use of, or inability to use, the platform is at your sole risk. The service is provided ‘as is’ and ‘as available’.

9.3) In no case shall ShopinoERP, our directors, officers, employees, or affiliates be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation: lost profits, lost revenue, lost savings, loss of data, or any similar damages arising from your use of the software.

10.1 Indemnification) You agree to indemnify, defend and hold harmless ShopinoERP from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service, your misuse of the platform, or your violation of any law or the rights of a third-party (including data privacy violations regarding your own customers' data).

5. Account Termination & Payments

  • Termination & Data Retention (Sec 11): You may terminate your subscription according to the terms of your specific SaaS contract. Upon termination, it is your responsibility to export your enterprise data. ShopinoERP reserves the right to delete all tenant data associated with an account 60 days after the termination of the subscription.
  • Payments & Refunds (Sec 13): All subscription fees are billed in advance on a recurring basis and are non-refundable. Any advance payments made for custom module development, specialized API integrations, or onboarding services are non-refundable once the technical scoping or deployment work has commenced.
  • Governing Law (Sec 12): These Terms of Service shall be governed by and construed in accordance with the laws of Shop No. 134, 2nd Floor, Gul Plaza, M.A. Jinnah Road, Karachi-74400, Sindh, Pakistan.
